1. Acceptance of these Terms

These Terms of Service ("Terms") are a binding agreement between you and NicheCollab governing your use of the NicheCollab marketplace. You accept these Terms by checking the acceptance box at sign-up, or by creating an account or using the service. If you do not agree, do not use the service. Our Privacy Policy explains how we handle personal data and is incorporated by reference.

If you use NicheCollab on behalf of a company, you represent that you have authority to bind that company, and "you" includes it.

2. Early access: the service is under active development

NicheCollab is in early access. We are still building it, and the rest of these Terms should be read with that in mind.

• The service will change. Features may be added, altered, paused, or withdrawn; the service may be unavailable; and data entered during early access may be reset when we change how something works. Nothing here commits us to build, keep, or maintain any particular feature.
• Some features are built but not open for real use. Sections marked "feature not yet live" describe planned functionality and take effect only when that feature ships. Payment features (Section 8) are a special case: the code is built, but the service is not connected to a payment processor, so no payment can be taken, held, or paid out today.
• Directory content is currently demonstration data. The unclaimed creator profiles in the directory today are synthetic examples about fictional people, created by us to demonstrate the product; they do not describe real individuals. Unclaimed profiles are labeled as unclaimed wherever they appear (see Section 6).
• These are living documents. These Terms, the Privacy Policy, and the Unclaimed Profile Removal Notice are early-access versions that we revise as features ship. They may not yet describe every part of the service, and they are re-verified against the product as it develops. Each carries a version number and date at the top; Section 16 explains how changes take effect.
• Nothing here is professional advice. Nothing on NicheCollab — including these documents and any guidance, template, or example we publish — is legal, tax, accounting, or financial advice. Obtain your own professional advice before relying on it, including on advertising-disclosure and tax obligations (see Section 4).
• Do not rely on early access for business-critical work. The "as is" disclaimer in Section 12 and the liability limits in Section 13 are central to these Terms while the service is in early access.
• Tell us if something looks wrong. If any part of the service or these documents is inaccurate, email [email protected]. If a creator profile is about you and is wrong or should not be there, use the process in the Unclaimed Profile Removal Notice — you do not need an account.

3. Eligibility and how you are using NicheCollab

You must be at least 18 years old and able to form a binding contract.

NicheCollab is built for business use: sponsorship and creator-collaboration transactions. We expect you to use it in the course of a business, trade, or profession.

Read that as a description of who NicheCollab is for, not as a check we perform — at sign-up we do not currently ask you to state your age, your country, or the capacity in which you are using the service. And using NicheCollab for business does not by itself remove consumer protections that the law of your country gives you. Section 15 explains how those apply.

4. The service: a marketplace, not a party

NicheCollab is a venue where sponsors (brands) and creators (influencers) can find each other, negotiate offers, and manage collaborations.

• Contracts are between users. When a creator accepts a sponsor's offer, the resulting collaboration agreement is between the sponsor and the creator. NicheCollab is not a party to it, is not an agent, employer, broker, or talent agency for either side, and does not guarantee performance, quality, legality, or results of any collaboration.
• No endorsement. Listing or appearance of any creator or sponsor on NicheCollab is not an endorsement by us — and, for unclaimed profiles, is not an endorsement of us by the listed creator (see Section 6).
• Your compliance obligations remain yours. Sponsors and creators are each responsible for complying with laws applicable to their collaborations, including advertising-disclosure rules (e.g. FTC endorsement guides and equivalent rules elsewhere), platform terms of the social networks involved, and tax obligations.

5. Accounts

You must provide accurate information at sign-up and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at [email protected] of any unauthorised use. One person may hold both a creator and a sponsor profile. Platform administration (moderation, trust and safety) may review marketplace content, including offers and collaboration messages, as described in the Privacy Policy.

6. Creator profiles: claimed and unclaimed

• Claimed profiles are managed by the creator who controls them. A "claimed" badge means the creator is on the platform; it is not a verification of identity, audience quality, or metrics beyond the claim-verification step described at claiming.
• Unclaimed profiles are compiled by NicheCollab from publicly available information about creators who have not joined the platform. Unclaimed profiles:
  • are clearly and persistently labeled as unclaimed on every surface where they appear;
  • do not mean the creator has joined, approved of, or endorsed NicheCollab, or agreed to receive or consider offers;
  • may contain information that is incomplete, outdated, or inaccurate — audience and engagement figures are drawn from public sources and are not verified by us; sponsors must not rely on them without independent verification;
  • can be claimed by the person they describe via an identity-verification process (proving control of the linked platform account), after which the creator manages the profile;
  • can be removed at the request of the person they describe — see the Unclaimed Profile Removal Notice.
• Offers to unclaimed profiles are not delivered to the creator. They are held privately and become visible to the creator only if and when the profile is claimed. NicheCollab makes no representation that an unclaimed profile will ever be claimed or that a held offer will ever be seen; sponsors may withdraw a held offer at any time before acceptance.

7. Offers, negotiation, and collaborations

• Sponsors send offers specifying budget, deliverables, and timeline; creators may accept, decline, or counter, and parties may alternate counter-offers. Every step is recorded in an audit log visible to the parties.
• Acceptance forms an agreement between the parties on the accepted terms. The agreed terms are frozen at acceptance and displayed in the collaboration record; the audit log is the authoritative history of the negotiation.
• Offers may carry an expiry time, after which they lapse automatically. Sponsors may withdraw an offer at any time before acceptance.
• All amounts are in US dollars (see Section 8).
• Users are responsible for the content of their offers and messages (see Section 9).

8. Payments and fees (built, not yet in live operation)

The payment features described here are built into the service but are not connected to a payment processor: the deployed site holds placeholder credentials only, so no payment can be initiated, taken, held, or paid out, and no money moves through NicheCollab today. This section governs those features once payments are connected and enabled, and it will be re-verified against the shipped implementation before that happens.

• Payment processing will be provided by Stripe. Creators must complete Stripe onboarding (including Stripe's identity and payout requirements) before receiving payouts; sponsors must have a valid payment method to fund a collaboration. Use of Stripe is subject to Stripe's own terms.
• Funds held until completion. When a collaboration begins, the sponsor pays the full agreed budget and it is held until the collaboration is completed. When the sponsor marks the collaboration complete, the creator receives the agreed budget less the platform fee. NicheCollab is not a bank, money transmitter, or deposit-taking institution; funds are handled through our payment processor.
• Platform fees, and who pays them. The platform fee is deducted from the amount released to the creator — the sponsor pays the agreed budget, and the creator receives that budget minus the fee. The split (what the sponsor funds, the fee, and what the creator receives) is shown on the collaboration record before the sponsor funds it.
• Currency. All amounts on NicheCollab are in US dollars. Your bank or card issuer may charge you separately for currency conversion; that cost is yours.
• Taxes: each party is responsible for its own taxes. Where required, tax reporting related to payouts is handled through the payment processor.
• Cancellation and refunds. Either party may cancel a collaboration before it is completed. If the sponsor has already funded it, the full amount is refunded to the sponsor and NicheCollab takes no fee on cancelled work.
• If a collaboration is disputed. If the sponsor's payment is disputed with their card issuer, the payment and the collaboration are frozen: while frozen, the collaboration cannot be funded, completed, or cancelled, and no money moves in either direction. We resolve frozen collaborations by hand, using the negotiation audit log (Section 7) and whatever evidence the parties give us, and we will tell both parties the outcome.
• Card disputes, reversals, and set-off. If you are a sponsor, raise a problem with us before disputing the charge with your card issuer. If you are a creator and a payment that funded your collaboration is later reversed, charged back, or recalled, you must repay the amount released to you on request; we may set that amount off against your current or future payouts, and we may hold payouts until it is resolved. We may also hold or reverse a pending payout where we reasonably suspect fraud, collusion, or a breach of these Terms. Both parties agree to give us, on request, the information we need to respond to a card dispute.
• These payment obligations survive termination of your account or of these Terms (see Section 11).

9. Acceptable use

You must not:

• misrepresent your identity, audience, metrics, or affiliation; claim a profile that is not yours; or attempt to claim on someone else's behalf without authority;
• use the service to send spam, harassment, or unlawful, infringing, or deceptive content;
• run collaborations that violate law or platform rules, including undisclosed advertising;
• scrape, harvest, or bulk-export data from the service, or probe, disrupt, or circumvent security or rate limits;
• use another user's personal data obtained through the service for purposes outside the collaboration at hand.

We may remove content, suspend or restrict accounts, and hold or cancel offers where we reasonably believe these Terms or the law are being violated, or to protect users or the platform.

10. Content and licence

You retain ownership of content you submit (profiles, offers, messages). You grant NicheCollab a non-exclusive, worldwide, royalty-free licence to host, store, display, and transmit that content as needed to operate the service. You are responsible for having the rights to what you post. We may retain negotiation and collaboration records as described in the Privacy Policy, including for the other party's business records after you leave.

11. Termination

You may stop using the service and request account deletion at any time ([email protected] until self-service deletion ships). We may suspend or terminate accounts for breach of these Terms, legal risk, or extended inactivity, with notice where practicable. Sections that by their nature should survive (Sections 4, the payment obligations in Section 8, 10, and 12–15) survive termination. Obligations between sponsors and creators under accepted collaborations are unaffected by termination of these Terms and remain between those parties.

12. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that profiles or metrics (especially on unclaimed profiles) are accurate, that the service will be uninterrupted or error-free, or that any collaboration will succeed. Some jurisdictions do not allow certain warranty disclaimers; those limits apply to the extent required by law.

13. Limitation of liability

To the maximum extent permitted by law: NicheCollab is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill; and our aggregate liability arising out of or relating to the service is limited to the greater of (a) the total platform fees you have paid to us, or that we have deducted from amounts payable to you, in the twelve months before the claim, and (b) US$100.

The US$100 floor in (b) applies whether or not you have ever paid us anything or had anything deducted — including during early access, when we charge no fees at all, and including where you use NicheCollab only as a sponsor (the platform fee is taken from the creator's side, so a sponsor may never have a fee "paid" or "deducted" at all).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law — including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, and liability that consumer law preserves. If you are a consumer, your rights under the mandatory consumer-protection law of your country of residence are unaffected; see Section 15.

14. Indemnity

You will indemnify NicheCollab against third-party claims arising from your content, your collaborations, or your breach of these Terms or the law, to the extent permitted by applicable law.

15. Governing law and disputes

15.1 Talk to us first. If something goes wrong, email [email protected] describing the problem and what you would like us to do. We will reply within 30 days. This is how to reach us, not a hurdle you have to clear: it does not stop you going to a court, a tribunal, or a regulator at any time, and it does not pause or extend any time limit that applies to your claim.

15.2 Which law applies, and where disputes are heard. These Terms do not name a governing law or a court. Until they do, which law applies and where a dispute may be heard are decided by the ordinary conflict-of-law rules that apply to you and to us — which, if you are a consumer, will usually mean the law and the courts of the country where you live. We will name a governing law and courts here once the company that operates NicheCollab has been established, and we will give notice of that change under Section 16. Everything else in this Section applies now and will keep applying afterwards.

15.3 If you are a consumer. Nothing in these Terms takes away rights you have that cannot be taken away by agreement. In particular:

• if you live in the European Economic Area or the United Kingdom and you are a consumer, you keep the protection of the mandatory consumer-law rules of the country where you live, and you may bring proceedings in the courts of that country;
• if the Australian Consumer Law applies to you, our services come with guarantees that cannot be excluded, and nothing in these Terms excludes, restricts, or modifies them;
• wherever you live, nothing here stops you complaining to a consumer-protection or data-protection authority.

Where those rules give you better protection than these Terms, those rules apply.

15.4 No arbitration, and no class-action waiver. We do not require you to arbitrate disputes with us, and we do not ask you to give up your right to take part in a group, class, or representative claim. If we ever propose to change that, we will do it through the notice process in Section 16 — it will not happen quietly.

15.5 Small claims are preserved. Either of us may bring a claim in a small claims court, tribunal, or equivalent low-value forum that has jurisdiction, instead of anywhere else these Terms may later name.

15.6 Time limit. Any claim arising out of these Terms or your use of the service must be started within 12 months of the events giving rise to it — except where a longer period applies to you and cannot be shortened by agreement, including under consumer law, in which case that longer period applies instead.

15.7 Regulators and data-protection rights are not "disputes". Nothing in this Section limits your right to complain to a data-protection or consumer-protection authority, to exercise a right under data-protection law, or to use the process in the Unclaimed Profile Removal Notice.

15.8 Disputes between users. This Section governs disputes between you and NicheCollab. It does not govern the collaboration agreement between a sponsor and a creator, which is between those parties (Section 4) and may be governed by different law. Section 8 explains the cancellation and dispute process that applies inside the service.

15.9 If you do not have an account. The removal and correction process in the Unclaimed Profile Removal Notice is open to anyone and does not require an account. Using it does not mean you have agreed to these Terms, and nothing in this Section applies to you because you used it.

16. Changes to these Terms

We may update these Terms. For material changes we will give reasonable advance notice (in-app, and by email once transactional email exists). Continued use after the effective date of a change constitutes acceptance; if you do not agree, stop using the service and request account deletion. Each version will carry a version number and date.
